Before the announcement of the merger and acquisition announcement, the cumulative average abnormal returns of the target companies were all positive and had very good statistical significant, it is possible that the CAAR was affected by an insider who leaked the private information for personal benefit. The finding that the target price run-up before M&A announcements is associated with insider trading measures raises the concern that rampant illegal insider trading may undermine corporate governance.
The pre-announcement run-up could add significant costs to mergers and acquisitions, which may have a negative effect on the target firm. Those findings help investors to form appropriate expected returns and policy makers to detect insider trading prior to M&A announcements and protect their capital. 1|Page ACKNOWLEDGEMENTS I have received enthusiastic help and support from lecturers at University of the West of England. In the three years since the Covid-19 epidemic appeared, the number and value of mergers and acquisitions (M&A) deals has increased rapidly in emerging Asian developing markets, including Vietnam. Mergers and acquisitions are useful tools to attract capital from domestic and foreign sources to expand the business scale of enterprises.
Due to the increasing popularity of M&A activities, researches on topics related to mergers and acquisitions are increasing. In particular, recent studies show that M&A activities create resonance mainly on the financial position of related companies. Is the Vietnamese market affected by the merger and acquisition announcement? When most studies mainly focused on developed regions such as North America, Europe and countries such as Japan, Korea, and India, I chose the topic “Impact of merger and acquisition announcements on share prices of listed companies on Vietnam stock exchange” for the following reasons. First, Vietnam is a fast-growing country with GDP (PPP) ranked 25th in the world and 14th in Asia (according to World Economic Outlook Database, IMF).
Next, Vietnam has witnessed a hot growth in the number and value of M&A deals in the past five years. Mergers and acquisitions are also considered as a channel for investment to expand the scale of enterprises, restructure and promote investment beyond Vietnam's borders for further development in the future. Moreover, the issue of benefits for shareholders from successful mergers 8|Page and acquisitions is still controversial. A part of investors believes that many benefits from facilitating the development of business systems of enterprises will bring to shareholders when performing M&A.
While the opposite party argues that this will make the shareholders of the buying company face losses from the seller's company.2 Research objective M&A activity is on the rise worldwide, and it leads to a growth by globalization and continuous technology breakthrough. In finance, merger events are one of the most researched areas, most of the empirical research on mergers generally emphasizes on daily stock returns nearby announcement dates and after mergers. Researchers from all around the world have investigated the impact of M&A on the value of both the acquired firm and the bidder firm. The evidence on mergers indicates that the stockholders of target firms have earned significant abnormal/excess return not only around the announcement period, but also in the weeks after the announcement.
Furthermore, when a target company is acquired, its stock price frequently skyrockets. However, a great portion of the run-up occurs prior to M&A announcements. The preannouncement run-up is enormous, indicating either an extremely observant financial market or leaked information about potential deals. Some research find the pre-announcement run-up is associated with prevailing rumors and toe-hold acquisitions.
Some research finds that the price-volume dynamics before M&A announcements are more consistent with market anticipation hypothesis rather than insider trading hypothesis. The purpose of this study is to examine the effect of M&A announcements on the stock price of listed companies on Vietnam stock exchange. This study covers the 9|Page period from 2007 to 2021 and uses event study methodology. The objectives of this paper are: (a) investigating the effect of merger announcement for listed company’s stock price in Vietnam (b) using the event studies examine whether there is an insider transaction before the M&A announcements are available (c) studying the comparison of stock prices before the announcement of merger and post announcement stock prices patter.3 Thesis disposition This research is divided into 5 main parts.

The terms mergers and acquisitions are often used interchangeably, however, they have slightly different meanings. An acquisition is when one company purchases most or all of another company's shares to gain control of that company. Purchasing more than 50% of a target firm's stock and other assets allows the acquirer to make decisions about the newly acquired assets without the approval of the company’s other shareholders (Kenton, 2022).
However, acquisition does not change its name or alter its organizational structure. Unfriendly or hostile takeover deals, in which target companies do not wish to be purchased, are always regarded as acquisitions. A deal can be classified as a merger or an acquisition based on whether the acquisition is friendly or hostile and how it is announced. A merger, on the other hand, refers to the joining of two enterprises of roughly the same size in order to move forward as a single new organization rather than remaining separately controlled and operated.
In a merger, the boards of directors for two companies approve the combination and seek shareholders' approval (Majaski, 2021). 11 | P a g e Consolidation creates a new company by combining core businesses and abandoning the old corporate structures. Stockholders of both companies must approve the consolidation, and subsequent to the approval, receive common equity shares in the new firm (Hayes, 2022). Besides, according to Vietnam Competition Law 2018 – 23/2018/QH14, M&A is defined as follows: - Acquisition means an enterprise directly or indirectly purchasing all or a part of the contributed capital and assets of another enterprise, which is sufficient to control and dominate the enterprise or a line of business of the acquired enterprise.
- Merger is when one or several enterprises transfer all their assets, rights, obligations and legitimate interests to another enterprise, and at the same time terminate their business operations or existence of merged industry. - Consolidation is when two or more enterprises transfer all of their assets, rights, obligations and legitimate interests to form a new enterprise, and at the same time terminate their business operations or existence of consolidated businesses. It can be concluded that Merger is the consolidation of companies to form a new business, ending the existence of the merged companies while Consolidation will terminate the existence of both parties. Acquisition is a company taking over another company and becoming its owner without giving rise to a new legal entity.
In short, M&A is an enterprise restructuring activity through capital contribution, share purchase and capital contribution of members.2 Strategy of mergers and acquisitions: 12 | P a g e M&A have been classified into three categories: horizontal, vertical and conglomerate. Horizontal: In a horizontal merger two companies which are engaged in similar lines of activity are combined. One of the motives advanced for horizontal mergers is that economies of scale can be achieved. Another major motive is the enhancement of market power resulting from the reduction in competition.
Horizontal mergers often attract the attention of government competition (antitrust) agencies (Arnold, 2013). Vertical: Vertical mergers occur when firms from different stages of the production chain amalgamate. Vertical integration often has the attraction of increased certainty of supply or market outlet. It also reduces costs of search, contracting, payment collection, advertising, communication and co-ordination of production (Arnold, 2013).
